Terms of Service

1. Service definition

AY ("we", "us") provides an "AI model API forwarding service" that routes requests to upstream models from third-party providers (Anthropic, OpenAI, Google, etc.). We do not own these upstream models and are not responsible for the quality, accuracy, or content of model outputs.

2. Account responsibility

• You are solely responsible for the security of your account credentials and API keys.
• Losses caused by leaked API keys are borne by you. We provide automated risk-control suspension as a best-effort safeguard, not a guarantee.
• Account deactivation is a soft delete: data is retained for audit, and the same email address cannot be re-registered.

3. Content responsibility

• You are solely responsible for the input prompts you submit and the generated outputs you receive.
• We do not proactively review content, but we reserve the right to comply with regulatory requests or upstream provider rejections.
• Use of the service for illegal purposes (including but not limited to: violating local law, pornography, terrorism, politically sensitive content) is prohibited.

4. Service availability

We target 99% monthly availability. This is an internal target, not a contractual SLA.

No compensation is offered for normal outages. In the event of severe outages (continuous unavailability exceeding 6 hours), pro-rata refunds may be issued for affected paid usage.

5. Billing and refunds

• You are charged based on actual API usage. Pricing is published on our website and may change with notice.
• Unconsumed top-up balance is refundable within 14 days of payment.
• Consumed usage is non-refundable. Bonus credits are deducted proportionally on partial refund.
• Refunds are issued via Stripe to the original payment card and typically arrive in 5-10 business days.

6. Limitation of liability

As a sole proprietor based in Hong Kong SAR, our cumulative liability to you for any and all claims is capped at the total amount you paid us in the preceding 12 months.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, arising out of or in connection with your use of the service.

7. Termination

• We reserve the right to suspend or terminate any account for violation of these terms, risk-control triggers, or compliance reasons.
• You may request account deactivation at any time.

8. Governing law

These terms are governed by the laws of Hong Kong SAR.

Any dispute will be submitted to the courts or arbitration body of Hong Kong.

9. Changes to terms

• We reserve the right to modify these terms.
• Material changes will be notified by email and take effect 30 days after notification.
• Continued use of the service after the effective date constitutes acceptance.
